Terms of Service

1. Parties and Definitions

Seller: RZ.Torski OÜ (trading as VINParts), Kirsi tn 8-18, 10616 Tallinn, Republic of Estonia, registry code 16910388, email info@vinparts.ee, phone +372 787 8822, website www.vinparts.ee. Buyer / User: a natural person aged at least 13, or a legal entity, using the VINParts.ee platform. Platform: the website www.vinparts.ee and Telegram bot @VINParts_bot. By using VINParts.ee, you agree to these Terms in full. If you do not agree, please do not use the service.

2. Placing and Confirming Orders

To place an order, add products to your cart and complete the checkout form. An order is considered placed after payment is made or another payment method is selected. Prices: all prices include VAT at 22% as required by Estonian VAT law. The price is fixed at the time of placing the order. Payment: transactions are processed by Maksekeskus AS (reg. 10066997). Available bank links: SEB, Swedbank, LHV Pank, Coop Pank, Luminor and others. Card details are never stored on VINParts.ee servers. Order confirmation: sent by email within 30 minutes of payment being received. If you do not receive a confirmation, contact info@vinparts.ee. Right to cancel an order: we reserve the right to cancel an order if the product is no longer in stock, the price contained an error, or payment is not received within 48 hours. Direct bank transfer: IBAN EE312200221085786681 (Swedbank). Include your order number as the payment reference.

3. Delivery

Delivery options and prices: • Omniva parcel machine — €3.99, 1–3 business days • DPD parcel machine — €3.99, 1–3 business days • Smartpost parcel machine — €3.99, 1–3 business days • Courier service — €5.99, 1–2 business days • Warehouse pickup (Tallinn) — free Free delivery on orders from €50 (cart total before adding delivery). Delivery time is counted from payment receipt. We will notify you of delays by email. For home address delivery, the buyer is responsible for the accuracy of the address.

4. Returns (Right of Withdrawal)

Under EU Directive 2011/83/EU and Estonian Consumer Protection Act (TKS) § 56, consumers have the right to withdraw from a distance contract within 14 calendar days of receiving the goods without giving any reason. 5. Warranty and Complaints

Statutory warranty: 2 years from receipt of goods under the Estonian Law of Obligations Act (VÕS) § 218. This means the seller is responsible for non-conformity that becomes apparent within 2 years. Complaint: upon discovering a defect, submit a complaint by email to info@vinparts.ee with a photo, description and order number. We will respond within 5 business days. Resolution: we will replace the defective product, refund the money or offer a price reduction — depending on the situation and your preference. For warranty claims, we cover the return shipping costs.

6. VINParts Club & Referral Programme

VINParts Club — Loyalty Programme VP Points are loyalty bonus points, not cash. They can be used as a discount on orders at VINParts.ee. Activation conditions: • New customers receive VP Points in PENDING status • PENDING VP Points activate once qualifying purchases reach €100 within 365 days from the date of crediting • After activation, VP Points are credited immediately as active • PENDING VP Points expire if the €100 threshold is not reached within 365 days • Activated VP Points are valid until the program ends Using VP Points: • VP Points may be used as a discount on any order — no minimum order value applies • VP Points cannot be converted to cash • VP Points cannot be transferred to another user’s account • VINParts reserves the right to amend loyalty programme terms with 30 days’ notice Referral Programme The VINParts referral programme is a recommendation rewards scheme — it is not an investment product or financial instrument. How it works: • Share your referral link — when a referred user places a confirmed order, you receive bonus VP Points • Bonus rate: a portion of VINParts’ margin on each qualifying order (see Programme details) • Network depth: multi-level referral structure • Placement: Forced matrix — automatic placement, maximum 3 direct referrals per account • Bonuses are credited only after a confirmed and paid order by the referred user • Self-referral is prohibited and will be reversed • Fraudulent activity may result in account suspension Partner tax responsibilities: • Ettevõtluskonto limit — 40 000 EUR/year (Estonia) • VAT registration required at — 40 000 EUR/year (Estonia) • VINParts will notify partners when income approaches regulatory thresholds • VINParts is not liable for a partner’s unpaid taxes • Consult EMTA (emta.ee) regarding your tax obligations Programme terms may be amended with 30 days’ notice. Programme termination: The VINParts Club program has no fixed term, but RZ.Torski OÜ reserves the right to discontinue the program with at least 90 days’ prior notice. In such case, customers will be able to use their accumulated VP Points for purchases until the program closure date.

7. Intellectual Property

The VINParts trademark, logo, website design, software and content (including AI consultant Otto) belong to RZ.Torski OÜ and are protected by copyright. Prohibited: copying, reproducing, distributing content without written permission; automated scraping of the website; use of the VINParts trademark without written permission. The TecDoc database is the intellectual property of TecAlliance GmbH — use is governed by a separate licence.

8. Limitation of Liability

VINParts makes every reasonable effort to ensure the website is continuously available, but does not guarantee uninterrupted operation. VINParts is not liable for: • Incorrect part recommendations caused by an erroneous VIN code — we recommend verifying compatibility with a mechanic • Buyer's own errors when ordering (wrong model, wrong year) • Indirect damages arising from use of the service • Force majeure circumstances Maximum liability is limited to the value of the specific order.

9. Age Requirement

The service is intended for users aged 13 and over in accordance with GDPR Art. 8 (children's consent for digital services). By using the service, you confirm you are at least 13 years old. Legal entities must ensure their representatives are of legal age (18+).

10. Changes to Terms

We reserve the right to modify these Terms. For significant changes, registered users will be notified by email at least 14 days in advance. The current version is always at www.vinparts.ee/terms. Continued use of the service after changes take effect constitutes acceptance of the new terms.

11. Dispute Resolution and Governing Law

Governing law: the law of the Republic of Estonia. Dispute resolution: 1. First, we try to resolve disputes directly through negotiation — write to info@vinparts.ee 2.
